Company is engaged in the manufacture [distribution] and sale of _________ and related products. Representative is experienced with promotion, distribution and sale of these products and desires to promote, [distribute] and sell them for company in the territory described:
In consideration of the mutual covenants on the part of each party to be performed, which it is agreed are to their mutual benefit, it is agreed as follows:
1. Company employs representative as its [exclusive] distributor [dealer] [agent] from this date until _________[date], in the following described territory: _________, to promote, [distribute] and sell company's products in that territory.
2. During the period of this agreement representative will promote, [distribute] and sell company's products in the assigned territory, devoting his [her] full time and energy and best skill, knowledge and efforts. More particularly, without limitation of the generality of the undertaking to promote the sale and use of company's products, representative will:
(a). Advertise the products as provided in paragraph _________.
(b). Provide and distribute sales information and literature as directed by company, but representative's obligation to do so shall not exceed in expense more than _________ percent of gross sales of company's products in the assigned territory.
(c). Arrange and conduct sales clinics for dealer [agents] [sales representatives], but being bound to expend no more than _________ percent of the gross sales of company's products in the assigned territory.
